These Terms & Conditions ("Terms") govern your access to and use of our website (softtechcloud.com), and any services, content, or products offered by us, including but not limited to Web Development, Mobile App Development, CRM Development, SEO Services, Performance Marketing, UI/UX Design, Cyber Security, Cloud Services, DevOps Services, Data Engineering, Salesforce Development, AI Chatbot solutions, and Digital Marketing (collectively, the "Services").

1.1By accessing our website or engaging our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our website or Services.

2.1By using our website or Services, you confirm that you are at least 18 years of age and have the legal authority to enter into agreements on behalf of yourself or the organization you represent.

3.1SoftTech Cloud provides consulting, development, and technology services as described on our website. The specific scope, deliverables, timelines, and fees for any engagement will be set out in a separate proposal, statement of work, or service agreement ("Agreement") signed by both parties.

3.2Where these Terms conflict with a signed Agreement for a specific project, the terms of that Agreement will take precedence.

3.3We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with reasonable notice where practicable.

4.1You agree to provide accurate, complete, and timely information, access, and materials reasonably required for us to perform the Services.

4.2You are responsible for ensuring that any content, data, or materials you provide to us do not infringe upon the intellectual property, privacy, or other rights of any third party.

4.3Delays caused by incomplete or delayed information, feedback, or approvals from you may affect project timelines, and we shall not be held liable for such delays.

5.1Fees for our Services will be as agreed in the applicable proposal, quote, or Agreement.

5.2Unless otherwise stated, invoices are due within the period specified on the invoice. Late payments may attract interest or suspension of Services, at our discretion.

5.3All fees are exclusive of applicable taxes (including GST, where applicable), which shall be borne by the client unless otherwise agreed.

6.1Unless otherwise agreed in writing, all pre-existing intellectual property, tools, frameworks, methodologies, and know-how used by SoftTech Cloud in delivering the Services remain our property.

6.2Upon full payment for a project, ownership of the specific deliverables created exclusively for the client under that engagement shall transfer to the client, excluding any third-party components, open-source software, or our pre-existing proprietary tools, which remain licensed for the client's use as needed to operate the deliverable.

6.3All content on the softtechcloud.com website, including text, graphics, logos, and design, is the property of SoftTech Cloud Technologies Pvt Ltd and may not be copied, reproduced, or distributed without our prior written consent.

Both parties agree to keep confidential any non-public business, technical, or financial information disclosed during the course of an engagement, and to use such information solely for the purpose of the engagement.

Our Services may involve integration with, or reliance on, third-party platforms (such as cloud providers, Salesforce, or other software vendors). We are not responsible for the availability, performance, security, or terms of service of such third-party platforms.

9.1We strive to deliver Services with reasonable skill and care, consistent with industry standards.

9.2Except as expressly stated in an Agreement, our Services and website are provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

9.3We do not guarantee that our website or Services will be uninterrupted, error-free, or completely secure.

To the maximum extent permitted by applicable law, SoftTech Cloud Technologies Pvt Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of our website or Services. Our total liability for any claim arising out of an engagement shall not exceed the total fees paid by the client for the specific Services giving rise to the claim in the preceding three (3) months.

You agree to indemnify and hold harmless SoftTech Cloud Technologies Pvt Ltd, its directors, employees, and affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of our Services, or violation of any third-party rights.

12.1Either party may terminate an ongoing engagement in accordance with the termination clause specified in the applicable Agreement.

12.2We reserve the right to suspend or terminate access to our website or Services if we believe, in good faith, that a user has violated these Terms.

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India.

We may update these Terms from time to time. Any changes will be posted on this page with a revised "Last Updated" date. Continued use of our website or Services after such changes constitutes your acceptance of the updated Terms.
